Terms of Service

1. Acceptance of Terms

By accessing or using Primary ("the Service"), operated by Primary Technologies, Inc. ("Primary," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Primary is an AI agent platform that provides autonomous digital assistants capable of performing tasks on your behalf, including but not limited to: managing communications, organizing files, scheduling, browsing the web, and executing automated workflows. The Service is available as a local appliance (hardware device) or as a cloud-hosted subscription.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years old to create an account. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

Primary offers the following pricing tiers:

  • Cloud Subscription: $200 per month, billed monthly. Includes cloud-hosted AI agents, storage, and all platform features.
  • Local Appliance: $2,499 one-time purchase for the hardware device, plus optional cloud services. The appliance runs AI locally on your network for maximum privacy.

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Refunds are handled on a case-by-case basis. Hardware purchases may be returned within 30 days in original condition.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Send spam, phishing, or other unsolicited communications
  • Attempt to gain unauthorized access to other systems or networks
  • Distribute malware, viruses, or harmful code
  • Harass, abuse, or harm other individuals
  • Infringe on the intellectual property rights of others
  • Use the AI agents to impersonate real people without their consent
  • Circumvent any security measures or rate limits

We reserve the right to suspend or terminate accounts that violate this policy, with or without notice.

6. Intellectual Property

The Service, including its software, design, logos, and documentation, is the intellectual property of Primary Technologies, Inc. and is protected by copyright, trademark, and other intellectual property laws. You retain ownership of any content you create or upload to the Service. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service to you.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIMARY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF PRIMARY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. AI agents act autonomously based on your instructions, and you acknowledge that their outputs and actions may not always be accurate or appropriate. You are responsible for reviewing and approving agent actions where applicable.

9. Termination

You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your account if you violate these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for 30 days following termination, after which it may be permanently deleted.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where possible, by email. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.
